Website and Working Arrangement Terms

Scope

This website is provided by Moohali LLC, doing business as Occlue. These terms explain use of the website and the offer it describes. The practice's signed Founding Practice Letter and Business Associate Agreement govern the actual work and take precedence over this summary.

An invitation is a first step

The form proposes suitable dates and a general time window. It does not book a visit, create a paid service or begin the 90 days. The founder replies personally to agree a visit. At that visit, the founder and practice review expectations, working days and hours, and a mutually agreed start date.

The 90-day arrangement

  • The arrangement is for one dental practice using Open Dental, for 90 calendar days from the agreed start date. The practice pays no fee, percentage of collections or passed-on automation running charges during that period.
  • The founder covers his work, development time, AI usage, hosting, messaging, calls and related automation running costs.
  • The founder works alongside experienced staff on agreed administrative tasks, learning the steps and exceptions. Staff demonstrate, delegate and review while continuing their own work; exclusive full-time teaching is not expected.
  • The founder attends the office every agreed working day, at days and hours set together around the practice. The first two working weeks are for learning and doing together, followed by a review of responsibility with continued office attendance.
  • Overdue insurance claims are the starting point unless the practice and founder agree that another administrative task is more pressing. The founder builds tools through Occlue, and the founder and staff test them together before relying on them.

This is a working and learning arrangement, not a promise of completed automation or guaranteed collections. A testimonial, public case study or exclusivity is not required.

Software, records and ending the arrangement

Occlue owns its software, code and automation. The practice receives free use of the tools made available during the active arrangement, not ownership or a handover of code or unfinished software. Tool access ends when the arrangement ends unless both sides agree to continue.

The practice retains its records and data. Software access ending does not remove its rights to those records or the return and destruction duties in the BAA.

Either side may stop early without a cancellation penalty. At 90 days, both sides choose to finish, extend at no fee, or agree new written paid terms. There is no automatic renewal, charge or conversion.

Before patient work

A BAA and appropriate authorized access must be in place before patient work. The practice controls the tasks it delegates and can revoke access. Its staff review the work and test tools with the founder. The practice remains responsible for care, coding, billing decisions and the accuracy of its records.

Using the website

Submit only accurate information you have authority to share. Do not include patient information, passwords or access keys in the invitation. Do not attempt unauthorized access or interfere with the website.

The website is provided "as is". To the extent the law allows, Moohali LLC is not liable for indirect, incidental or consequential losses from website use, and its total liability for website use is limited to $100. The signed practice agreement separately governs liability for the work.

Law and changes

California law governs these website terms, with disputes heard in the state or federal courts of Orange County, California. Updates will be posted here with a new date. Updating this page does not change a signed practice agreement.
